Here's the official answer from IBM TSM Product Manager, Freddy Saldana, on how the licensing of TSM and TSM EE works for VMWare env:
The TSM license requirements to backup the VMware consolidated backup environment requires that all the VMware servers being backed up by the VCB proxy server be licensed as well as the VCB proxy server.
Example. Four VMware ESX servers with 4 processors each are backed up using 1 VCB proxy server with 2 processors. The license required is 4 processors/VU x 4 (16) for the ESX servers and 2 x1 (2) processors/VU for the VCB proxy server.
IBM Tivoli software products are priced using IBM Tivoli's Enhanced Value-Based Pricing. The Enhanced Value-Based Pricing system is based upon the IBM Tivoli Environment-Managed Licensing Model, which uses a managed-environment approach
