TSM and VMWare VCP

Hi all,

What is the rules around licencing TSM using VMWare VCP.. I'll have about 6 Dual core machines running ESX3 VI. I'll have a backup proxy running VCP and TSM server and client. In effect TSM is only running on a single machine with two CPUS.

Does that mean that I only need to licence TSM to run on the backup proxy
?

As per my understanding TSM is licensed by "Managed Processor" licensing model so you need to buy license for the total number of processors it is backing up.
