exclude D:\dir1\dir2\*

I'm a big dope when it comes to include/exclude
statements ... not sure what my problem is. 

Need help with syntax ...

I have a directory:  D:\dir1\dir2
where I need to exclude the file contents of dir2, but
need to include any subfolders and their contents.  So
if there is a d:\dir1\dir2\dir3, I need to back up all
that, just exclude the files in d:\dir1\dir2.  

Anybody?
