[ADSM-L] Upgrade from 6.3.4 to 7.1.1 on Win2K8 fails at DB2 upgrade

TSM 6.3.4 on Win2K8 64
Trying to run the upgrade to 7.1.1, the package fails after uninstalling 6.3.4 
and DB2 and fails during the DB2 install.

Message:
ANRI1020E The DB2 installation failed. To review errors and correct any issues, 
review C:\ProgramData\IBM\Installation 
Manager\logs\native\tsm_logs\db2_install.log.

The db2_install.log file is empty.


Found this hit:
IT03536: SERVER INSTALLATION FAILS WITH MESSAGE "ANRI1020E THE DB2 INSTALLATION 
FAILED
All the symptoms match, but we've removed the empty "c:\program" file, and put 
the install package in c:\tsmcode, a directory with no spaces.  Still fails 
with same error.

What am I missing?  Anybody gotten past this?
