We just upgraded from 3.74 to 4.2 on Windows 2000.
The readme states:
Upgrading from TSM 3.7.x.x to the current version
Upgrading from ADSM 3.1.x.x to the current version
1) Write down the directory where the current release is installed
2) Use Add/Remove programs to uninstall the current version
3) Install the new version to the same location as the original
4) Update and run the script tsmfixup.cmd installed in the console
directory.
