We recently upgraded TDP from 6.1 to 6.4 and now getting an exception:

"Cannot load Windows PowerShell snap-in Microsoft.Exchange.Management.PowerShell.E2010 because of the following error: The type initializer for 'Microsoft.Exchange.Data.Directory.Globals' threw an exception., ACN5055E The Microsoft Exchange API could not be loaded."

Has anyone seen this?

TSM Server is at 6.3.4
Exchange 2010 SP2 Rollup 5
TSM Client 6.4.0
TDP for Exchange 6.4.0.2

What account are you using for the update? The account should have Exchange (domain) rights at minimum.

Also, check for the Power Shell install.

Our Exchange admin is also a TSM admin. He installed using his own account.

According to the TDP for Exchange 6.4 document, it requires .NET 4 Client Profile and we have this installed.

Turns out it was the 6.4.0.2 patch. We backed down to 6.4.0 and no longer getting the exception.
