Right. when you do the pkgrm, you will be asked if you are doing this as part 
on an upgrade. You will be answering, "yes".

If you are dubious about retaining your configs, copy /opt/openv/netbackup/db 
and /opt/openv/volmgr/database to another spot on your system.

I'm in the process of upgrade testing myself, and I had no problem with 
loosing any class configs or catalog information in my test environment, 
which consists of 200+ clients.
