Makes perfect sense that the files are "modified" when security it changed so 
that the security is backed up as well as the file. I do use security groups, 
but windows file sharing is new to us since we were a Novell shop before. The 
other twist is that we also share files with other sister companies. If there 
is a big demand for a specific folder I have the sister company create a group 
on their end and then add that group to the security. Some of the lesser 
requested access I just add the users from the sister company individually.
