Here's where I could see this being true:
You have an active/active cluster of VMware servers that each run a few
VMs and receive other VMs in the event of a failure.  

Where this would NOT be true:
You have 1 VMware server that runs all the vms, and another that's in
standby mode.

If your "rep" told you that you have to license the inactive node in
case 2, you need a new rep.

Not only that, but if you have SQL Server running on one of them, you
only have to pay for the VMware cores that are actively running SQL
Server Data Protection.  Meaning in an active/passive situation of a
cluster you only pay for the processors that are active (unless the
passive machine has more procs, then you'd want to license it).  So, in
a VMware situation you only pay for the VMware server running SQL
Server.

Just because it "can" run on the other machine doesn't mean it "can" run
on both at the same time.
