I have no reference statement for you.

For Hyperthreading and multi cores you need to buy a license for each
physical processor. 

I am not certain about Vmware, but I would make the assumption that
instead of number of processors it is based on each addressable machine
and a minimum of 1 processor each.

I would contact the sales rep for additional information.

We are running a 5.2.2.0 server under mainframe Linux and are attempting
to figure how many licenses we need to meet contractual obligations. My
manager has asked me to find an official IBM statement of the rules for
license counts, including the rules governing hyperthreading, multi-core
processor chips, and virtual machine environments. Can anyone provide a
reference for such a statement?
