I believe it will work just fine on a Windows 95 system if all you are
upgrading is the processor.
(It definitely will NOT work for Windows NT, because Windows NT keeps
hardware information in the registry.)

But make sure you think through what you are doing.  Consider whether the
machines are REALLY the same except the processor.  If the new Pentium III
has, for instance, a different network card, you could be missing the
appropriate drivers.
