Is the domain account that you use a member of Exchange Organization Admin ?
Check that by running the exchange EMC.

-Are you backing up through a proxy server? you need to add that to your
command and the mount point.
-Are you tying to backup the system files and the system drive? or actually
backing up the exchange database ?
if your exchange database is on a SAN you will need to install a VSS
provider that comes with your SAN.
